Terms & Conditions

Draft for legal review before commercial launch.

These Terms & Conditions govern access to and use of MFE Cloud, operated as a technology and automated trading software service under the Money Flow Engine (MFE) platform. By creating an account, starting a free trial, purchasing a subscription, connecting an exchange account, or using MFE Cloud, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and legally permitted to use MFE Cloud and the connected cryptocurrency or trading exchanges in your jurisdiction. You are responsible for ensuring that your use of MFE Cloud complies with laws, regulations, exchange rules, tax obligations, and other requirements applicable to you.

2. Nature of the Service

MFE Cloud is a technology and automated trading platform. It may analyze market information and, when enabled by the subscriber, transmit trading instructions to supported exchanges through application programming interfaces (APIs).

Subscription fees are charged for access to the MFE Cloud technology service. They are not an investment, deposit, managed-fund contribution, profit-sharing arrangement, or guarantee of trading performance.

3. Customer Exchange Accounts and Funds

Customers use their own exchange accounts and remain responsible for the funds held in those accounts. MFE Cloud does not require custody of customer trading capital.

Customers must create and maintain suitable exchange API credentials. API credentials provided to MFE Cloud should contain only the permissions required for the service. Withdrawal permissions must not be enabled for MFE Cloud API credentials.

You remain responsible for your exchange account security, balances, margin availability, API permissions, exchange restrictions, and any actions taken directly through your exchange account.

4. Automated Trading and Market Risk

Trading cryptocurrencies, derivatives, perpetual contracts, leveraged instruments, or other financial products involves substantial risk and may result in partial or total loss of trading capital.

When MFE Cloud is enabled, orders may be submitted, modified, reduced, or closed automatically according to the active trading engine, configured capital limits, execution controls, and risk-management logic.

Execution may be affected by market volatility, gaps, slippage, insufficient liquidity, exchange outages, rejected orders, API failures, latency, funding charges, margin requirements, liquidation rules, or other conditions outside MFE Cloud's control.

5. No Guaranteed Returns

MFE Cloud does not guarantee profits, returns, win rates, recovery of losses, maximum losses, trade frequency, or any specific trading result.

Historical results, simulations, paper trading, backtests, demonstrations, examples, projections, or previous live performance do not guarantee future performance. Market conditions can change and trading losses are possible even when the software operates as designed.

6. Capital Allocation

Each subscription provides a maximum capital entitlement. The subscriber may configure MFE Cloud to operate with any permitted capital allocation up to the subscribed limit.

The configured capital allocation represents the maximum combined capital equivalent that MFE Cloud is authorised to use across supported connected exchanges. It does not mean that the full amount will necessarily be deployed at all times or equally across exchanges.

MFE Cloud may block an attempted allocation above the subscriber's active capital entitlement. A higher allocation requires an appropriate subscription upgrade or higher capital plan.

7. Subscription Pricing

The standard MFE Cloud subscription price is ₹999 for each ₹1,00,000 of subscribed capital for one 28-day subscription cycle, subject to applicable discounts, taxes, promotional offers, and payment terms displayed before purchase.

Capital-plan discounts are applied according to the selected subscribed capital. The discount begins at 2% for ₹2,00,000 of subscribed capital and increases with the capital plan up to a maximum discount of 10%. For subscribed capital of ₹10,00,000 or more, the maximum capital discount remains capped at 10%.

Customers may purchase one or more whole 28-day subscription cycles. The total subscription validity period is calculated as the number of purchased cycles multiplied by 28 days. The final amount payable is displayed before payment.

A customer's subscription capital entitlement is separate from the customer's actual exchange balances. MFE Cloud does not receive the subscribed capital amount as trading funds.

8. Free Trial

Eligible new customers may be offered a 7-day free trial. Trial eligibility, availability, capital limits, exchange requirements, and other trial conditions may be determined by MFE Cloud.

A free trial does not guarantee that trades will occur during the trial period and does not guarantee any profit or particular trading result.

9. Payments, Renewal, Cancellation and Refunds

Payment methods, taxes, renewal arrangements, cancellation procedures, and any applicable refund policy will be displayed during checkout or otherwise communicated before a paid subscription is completed.

Unless specifically stated at checkout or required by applicable law, purchasing a subscription does not guarantee any trading result and trading losses do not by themselves create an entitlement to reimbursement of subscription fees.

10. Subscriber Controls and Safety

Subscribers are responsible for using available start, pause, stop-after-cycle, emergency-stop, capital-allocation, and API-management controls appropriately.

Certain controls may be intentionally restricted while an active trading cycle is in progress when immediate modification could conflict with position-management, reconciliation, safety, or execution logic.

MFE Cloud may suspend, pause, restrict, or block automated trading for security, maintenance, exchange connectivity, subscription status, risk control, system integrity, compliance, or other operational reasons.

11. Exchange and Third-Party Services

MFE Cloud depends on exchanges, internet infrastructure, hosting providers, APIs, market-data services, and other third-party systems. MFE Cloud does not control those third parties and cannot guarantee their availability, accuracy, solvency, cybersecurity, execution quality, or continued operation.

Exchange fees, brokerage charges, funding payments, spreads, slippage, taxes, liquidation charges, conversion costs, and other third-party costs may affect trading results and remain subject to the applicable provider's rules.

12. API Credentials and Security

You are responsible for creating, maintaining, rotating, and disabling your exchange API credentials when necessary. You should immediately revoke credentials if you believe they have been compromised.

You must not attempt to bypass security controls, capital limits, subscription restrictions, authentication controls, risk limits, or other protective mechanisms implemented by MFE Cloud.

13. Availability and Technical Limitations

MFE Cloud aims to provide reliable operation but uninterrupted or error-free availability cannot be guaranteed. Maintenance, software defects, exchange failures, internet disruption, infrastructure outages, security incidents, or other events may temporarily affect service availability or trading execution.

14. Intellectual Property

MFE Cloud software, Money Flow Engine technology, private trading-engine logic, algorithms, interfaces, architecture, documentation, branding, designs, and related intellectual property remain proprietary to their respective owner or owners.

A subscription provides a limited right to access and use the service during the applicable subscription period. It does not transfer ownership of source code, trading logic, algorithms, infrastructure, confidential information, or intellectual property.

15. Prohibited Use

You must not attempt to reverse engineer, copy, extract, reproduce, redistribute, resell, interfere with, exploit, circumvent, or gain unauthorised access to MFE Cloud software, trading logic, servers, APIs, security systems, or other protected components.

16. Customer Responsibility

You are responsible for deciding whether automated trading is suitable for you, selecting your subscribed capital plan, determining your actual capital allocation, maintaining adequate exchange balances, monitoring your connected exchange accounts, and understanding the risks associated with leveraged and automated trading.

17. Changes to the Service or Terms

MFE Cloud may update its software, supported exchanges, features, subscription plans, operational rules, security requirements, or these Terms as the service develops or legal and operational requirements change. Material changes will be communicated where required by applicable law.

18. Termination or Suspension

MFE Cloud may suspend or terminate access where reasonably necessary because of security concerns, misuse, non-payment, fraudulent activity, violation of these Terms, legal requirements, exchange restrictions, technical risk, or threats to the platform or other users.
